Welcome to the Xvoucher website (the “Site”). Xvoucher is a learning ecommerce, communication, and program management system (the “Software” and together with the Site and all services provided through the Site, the “Platform”) provided through the Site.
This document (the “User Agreement,” the “Agreement,” or the “Terms”) is a legal contract that describes the conditions under which users (“you”) are permitted to access the Site and use the Platform.
By using or accessing the Site, you agree to be bound by this contract. If you do not accept the Agreement, do not use or access the Site.
Changes To The Agreement
We may change this Agreement at any time, so we encourage you to review it periodically before using the Site. To assist you in doing this, we will make the most recent version of the Agreement available on the Site, and we will indicate at the top of the Agreement the most recent date when it was modified. In addition, if we have your email address, we will notify you by email in the event of any changes to the Agreement.
By continuing to use the Site after we modify the Agreement, you accept the new version of the Agreement. Therefore, it is important that you read this page regularly to ensure you are familiar with the most updated Agreement. If you do not agree to the changes, you should not continue to use the Site and should instead contact us.
Scope Of License
In exchange for your acceptance of this Agreement, you are authorized to use the Platform. However, you cannot use the Site to distribute or redistribute any portion of the Platform.
The Site contains material that is protected by copyright, trademark, or other intellectual property rights, the Platform, including but not limited to the Software, is protected by copyright, patent, or other intellectual property rights, and the Site itself is protected as a collective work under the copyright laws of the United States and other countries. You may not download, modify, publish, transmit, create derivative works from, or in any way exploit, any component of the Site itself or the Platform, including but not limited to the Software.
You may link to any page of the Site as long as the link does not cast us in a false. misleading, derogatory, or otherwise offensive light. You may not use metatags or any other “hidden text” that incorporates the Xvoucher Trademarks (as defined below) or our name without our express written consent. These permissions are conditioned on your not modifying the content displayed on this site, your keeping intact all copyright, trademark, and other proprietary notices, and your acceptance of any terms, conditions, and notices accompanying the content or otherwise set forth on the Site.
Limitations on License
You shall not (i) copy, distribute, reproduce, republish, post, distribute, rent, lend, sell, lease, sublicense, or otherwise transfer the Software or any portion of the Platform; (ii) upload, translate, adapt, modify, alter, mirror, frame, combine with other software, otherwise use or display, or prepare derivative works based in whole or in part on the Platform; (iii) use the Platform in a computer-based services business except as otherwise authorized by Xvoucher in writing; (iv) transmit the Software over a network, by telephone, or electronically using any means; (v) reverse engineer, decompile, disassemble or otherwise reduce the Platform to a human-perceivable form or use any data mining, robots, or similar data gathering and extraction tools; (vi) transmit any material that may infringe the intellectual property rights of any third party; (vii) upload, disseminate, store or transmit viruses, Trojan horses or any other malicious code, data, (viii) use the Site or the Platform in a manner that violates any local, state, national, foreign or international statute. or (ix) engage in any other activity deemed by Xvoucher to be in conflict with the spirit or intent of this Agreement.
Xvoucher does not grant you any express or implied rights or licenses under any patents, trademarks, copyrights, or other proprietary or intellectual property rights.
Usage
Xvoucher may, in its sole discretion and without prior notice to you, terminate your access to the Platform and your Customer Account for any reason, including without limitation: (1) attempts to gain unauthorized access to the Platform, including but not limited to the Site and the Software, or assistance to others’ attempting to do so, (2) overcoming software security features limiting use of or protecting any information on the Platform, including but not limited to the Site and the Software, (3) discontinuance or material modification of the Platform, (4) violations of these Terms or any other agreement between you and Xvoucher or its licensors, (5) failure to pay for purchases, (6) suspected or actual copyright infringement, (7) unexpected operational difficulties, or (8) requests by law enforcement or other government agencies. You agree that Xvoucher will not be liable to you or to any third party for termination of your access to the Platform.
Passwords
You are responsible for all use of your account and maintaining the confidentiality of all passwords and information. You share your passwords at your own risk. When selecting passwords, Xvoucher requires you to select unique, non-obvious passwords that conform to current best practices for password creation.
Disclaimers Regarding Content
Information on the Platform is not promised or guaranteed to be correct, current, or complete, and the Platform may contain inaccuracies or typographical errors. Xvoucher assumes no responsibility (and expressly disclaims responsibility) for updating the Platform to keep information current or to ensure the accuracy or completeness of any posted information. If you believe any information on the Platform is inaccurate or incomplete, please let Xvoucher know by calling (866) 695-6316 or emailing support@xvoucher.com.
Xvoucher provides no assurances that any reported problems will be resolved, even if Xvoucher elects to provide information with the goal of addressing a problem.
Confidential Information and Submissions
The Site collects the information you submit to it, or information which you submit to our support team. By sending Xvoucher any information or material, you grant Xvoucher an unrestricted, irrevocable and fully paid-up license to use, copy, reproduce, publish, upload, post, transmit, distribute, publicly display, perform, modify, create derivative works from, and otherwise freely use, those materials or information. Xvoucher will only publish or publicly display deidentified or non-personally identifiable informationYou also agree that Xvoucher is free to use any ideas, concepts, know-how, or techniques that you send us for any purpose, without compensation of any sort. However, we will not release your name or otherwise publicize the fact that you submitted materials or other information to us unless: (a) we obtain your permission to use your name; or (b) we first notify you that the materials or other information you submit to a particular part of the Site will be published or otherwise used with your name on it; or (c) we are required to do so by law.
If you have a separate agreement with Xvoucher that covers confidential information, the terms of that separate agreement govern.
Copyright
Copyright on the Platform, the Software, the Site, and all materials included on the Site is owned by or licensed to Xvoucher and all rights are reserved. You must abide by all copyright notices and restrictions contained on the Platform. You may not copy, distribute, enter into a database, display, perform, create derivative works of, transmit, or otherwise use or transfer any materials from the Platform (including the Site, the Software, other computer programs, or other code) (“Platform Materials”), except that you make a reasonable number of machine-readable copies of the Platform Materials only for personal, non-commercial use (unless you have a business relationship with Xvoucher), and only if you do not alter the text or remove any trademark, copyright, or other notice displayed on the Platform Materials.
Trademarks
Xvoucher, the Xvoucher Logo, and any other trademarks on the Xvoucher Site are trademarks owned by Xvoucher (the “Xvoucher Trademarks”). You may not use the Xvoucher Trademarks in connection with any product or service that does not belong to us, or in any manner that is likely to cause confusion among users about whether we are the source, sponsor, or endorser of the product or service, or in any manner that disparages or discredits us.
Linked Websites and Advertising
As a convenience to users, we may provide links to third-party content, websites, or services. We do not endorse, sponsor, control, or otherwise accept responsibility for this third-party material.
A link to a third-party website does not mean that Xvoucher endorses the content or use of such website or its owner. You should be aware that third-party websites, even one that may contain the Xvoucher name or logo, are not covered by this Agreement or our Privacy Policy, and we therefore cannot be responsible or liable for the content or practices of any such website, even if it links to the Site or even if the website is operated by a company affiliated or otherwise connected with us. It is up to you to take precautions to protect yourself from viruses, worms, trojan horses, and other potentially destructive programs, and to protect your information as you deem appropriate.
Xvoucher makes no representations, warranties, or other commitments whatsoever about any third-party websites resources that may be referenced, accessible from, or linked to the Site. In addition, Xvoucher is not a party to or responsible for any transactions you may enter into with third parties, even if you learn of such parties (or use a link to such parties) from the Site. Accordingly, you acknowledge and agree that Xvoucher is not responsible for the availability of such external sites or resources.
Security
In exchange for your access to the Platform, you agree not to take any steps that are intended to or could damage, inhibit, or prevent operation of the Platform or that could cause injury to yourself, to us, or to anyone else.
DISCLAIMER OF WARRANTY
Use of the Site is at your sole risk. All materials, information, services, and products are provided “as is,” with no warranties or guarantees whatsoever. Xvoucher expressly disclaims to the fullest extent permitted by law all express, implied, statutory, and other warranties, guarantees, or representations, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary and intellectual property rights. Without limitation, Xvoucher makes no warranty or guarantee that the Site will be uninterrupted, correct, complete, timely, secure, or error-free or that defects in the Site will be corrected.
You understand and agree that if you obtain materials, information, products, or services, you do so at your own discretion and risk and that you will be solely responsible for any damages that may result, including loss of data or damage to your computer system.
Some jurisdictions do not allow the exclusion of warranties, so the above exclusions may not apply to you. In addition, if you have a separate agreement with Xvoucher, the terms of your separate agreement govern the warranty.
Third-party warranties may apply to third-party products or services you purchase through the Platform, and separate Xvoucher-provided warranties may apply to Xvoucher products or services you purchase through the Platform.
LIMITATION OF LIABILITY
In no event will Xvoucher be liable to any party for any direct, indirect, incidental, special, exemplary or consequential damages of any type whatsoever related to or arising from the Site or any use of the Site, or of any site or resource linked to, referenced by, or accessed through the Site, or for the use or downloading of, or access to, any materials, information, products, or services, including, without limitation, any lost profits, business interruption, lost savings, or loss of programs or other data, even if Xvoucher is expressly advised of the possibility of such damages. This exclusion and waiver of liability applies to all causes of action, whether based on contract, warranty, tort, or any other legal theories. Without limitation, you agree not to attempt to:
- Modify the Platform or make it possible for you or someone else to access the Platform without using an interface that we provide (including through the use of spiders or robots, except to facilitate the creation of public search engines that catalog publicly accessible portions of the Site);
- Introduce viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
- Damage, disable, overburden, impair, or gain unauthorized access to the Platform, including but not limited to the Site and the Software, or our servers, computer network, or user accounts;
- Collect information about other users for the purpose of sending, or to facilitate or encourage the sending of, unsolicited bulk or other communications, or for any other purpose not explicitly authorized by us;
- Falsify, conceal, or modify information identifying yourself or another user, including Internet Protocol header information;
- Use our servers, networks, or other facilities for any purpose not explicitly authorized by us, including for the transmission of messages not authorized by us, or to interfere with or cause damage to the Platform or any other service operated by us or any other party; or
- Take any other action that we, in our exclusive discretion, believe may damage or injure you, us, or any third party.
Indemnification
As a condition of the use of the Platform, you agree to defend, indemnify and hold harmless Xvoucher and its respective employees, directors, officers, agents, vendors and suppliers from and against any liabilities, losses, investigations, inquiries, claims, suits, damages, costs and expenses (including, without limitation, reasonable attorneys’ fees and expenses) (each, a "Claim") arising out of or otherwise relating to Claims alleging facts that if true would constitute a breach by you of the Terms, or any Submission or other data submitted by you through the Platform.
Disputes
Except as otherwise expressly provided in a separate agreement between you and Xvoucher, you agree that these Terms and your use of the Platform are governed by the laws of the State of Nevada, without regard to conflict of law principles. You hereby consent to the exclusive jurisdiction and venue of the courts, tribunals, agencies and other dispute resolution organizations in Clark County, Nevada, in all disputes arising out of, relating to, or concerning the Platform and/or these Terms of Use. Use of the Platform is unauthorized in any jurisdiction that does not give full effect to all provisions of this agreement, including without limitation this paragraph and the warranty disclaimers and liability exclusions above. Xvoucher has endeavored to comply with all legal requirements known to it in creating and maintaining the Site, but makes no representation that materials on the Site are appropriate or available for use in any particular jurisdiction. Use of the Site is unauthorized in any jurisdiction where all or any portion of the Site may violate any legal requirements, and you agree not to access the Site in any such jurisdiction. Any use in contravention of this provision or any provision of this agreement is at your own risk and, if any part of this agreement is invalid or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall govern such use.
